This disclosure applies to all services, consultations, enrollments, installations, onboarding assistance, technical guidance, and communications provided by RestaurantDealers.com LLC / Focus RestaurantSolutions / The SkyTab/Shift4 Partner, whether conducted through this website, email, phone calls, video meetings, in-person consultations, or other forms of communication.

While we assist in the enrollment, installation, and support of various Point of Sale systems and payment programs, we do not guarantee the legal compliance of any specific program within your jurisdiction.

Independent Representative Status & Disclosure

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner operates solely as an independent sales and marketing representative for third-party merchant service providers. We are not a bank, a credit card brand, a merchant processing company, or the direct owner of processing technology and Point of Sale (POS) systems.

All merchant processing agreements, terms, and conditions are contracted directly between the Merchant and Shift4 or the respective third-party Merchant Service Provider. Currently, all merchant services—including contracts, pricing, billing, PCI compliance, data security, hardware/software warranties, and primary technical support—are provided exclusively by Shift4 or the designated Merchant Company with whom the Merchant will enter into a separate agreement.

While RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab Partner may facilitate the enrollment process, assist with local installation, or provide secondary support as a courtesy, we do not provide payment processing, merchant accounts, or contractual services directly to merchants.

Merchant Service Limitations and Responsibilities

No Guarantee of Approval

Submission of an application through RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner does not guarantee approval for merchant services, payment processing, or related technology services. Approval decisions are determined solely by the applicable third-party provider based on its underwriting and risk assessment criteria.

Any information provided by RestaurantDealers.com LLC regarding potential pricing, funding times, fees, or service features is preliminary and for informational purposes only. Final terms, approval decisions, and service conditions are determined exclusively by the applicable provider and are governed by the merchant’s written agreement with that provider.

No Authority to Bind Providers

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner acts solely as an independent sales, marketing, and consulting partner that may introduce merchants to third-party technology and payment service providers.

RestaurantDealers.com LLC does not have authority to approve merchant accounts, modify pricing, alter contract terms, or bind any payment processor, technology provider, or financial institution to any agreement.

All merchant services agreements, payment processing services, POS software subscriptions, hardware warranties, billing terms, and settlement of funds are governed exclusively by the written agreement between the merchant and the applicable provider.

Processor Policies, Pricing, and Merchant Responsibilities

Payment processing services are subject to the rules, policies, pricing structures, and procedures of the applicable payment processor, financial institutions, and card networks.

These may include requirements or changes related to:

• processing rates
• network fees
• compliance fees
• chargebacks
• PCI compliance
• account monitoring
• transaction limits
• settlement timing
• reserve requirements
• account suspension or termination

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner does not control these policies, pricing structures, or fee schedules and is not responsible for any changes made by payment processors, financial institutions, or card networks.

Any updates to rates, fees, policies, or service terms are determined by he applicable provider and governed by the merchant’s written agreement with that provider.

Merchant Program Compliance

Certain payment programs or pricing models—including but not limited to Dual Pricing, Cash Discount programs, or surcharge-style programs—may require specific disclosures, signage, menu notices, or other customer communications in order to comply with card network rules, processor requirements, and applicable laws.

Merchants are solely responsible for ensuring that their business complies with all applicable rules, regulations, and disclosure requirements related to such programs, including any signage, menu updates, or customer notices required by their payment processor, card networks, or applicable laws.

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner may provide informational guidance regarding these programs but does not guarantee compliance with any regulatory or card network requirements.

Merchants should also review their merchant processing agreement and consult with their payment processor to confirm that any pricing program or payment model they choose to implement is permitted under their processor agreement and current card network rules.

These materials are provided for informational purposes only and do not replace the merchant’s responsibility to verify compliance with applicable laws, processor rules, and card network requirements.

Local Jurisdiction Compliance & Risk

Compliance requirements for Dual Pricing and Cash Discount programs are subject to change without notice by state legislatures, federal authorities, and card brand associations (Visa, Mastercard, Discover, Amex).

The merchant assumes all risk regarding the legality of their specific program within their city and state.

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner shall not be held liable for any fines, penalties, or legal actions resulting from the merchant’s failure to adhere to local, state, or federal laws and card brand rules.

Merchant Operational Responsibility

The merchant acknowledges and agrees that they are solely responsible for the lawful and physical implementation of any chosen payment program. This includes, but is not limited to:

• Signage: The physical posting of clear and conspicuous signage at all public entrances, host stand, and every Point of Sale (POS) location.

• Pricing Updates: Making all necessary changes to physical menus, digital menus, and online ordering platforms to reflect accurate pricing (e.g., listing the Card Price or Dual Pricing as required by law).

• POS Configuration: Ensuring the Point of Sale system is configured to meet local requirements and that staff are trained to operate it in a compliant manner.

• Consultation: Consulting with independent legal counsel or local authorities before implementation to ensure full compliance with current statutes and the Durbin Amendment.

Once a Point of Sale (POS) system has been installed or configured, the merchant is responsible for maintaining the accuracy of system settings, pricing configurations, tax settings, and payment program parameters. RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner is not responsible for configuration changes, operational modifications, or compliance issues resulting from system changes made by the merchant or their staff after installation or initial setup.

Merchant Verification of System Configuration

Upon installation, activation, or configuration of any Point of Sale (POS) system, payment program, or pricing model, the merchant is responsible for reviewing and verifying that all system settings, pricing configurations, tax settings, menu prices, payment program parameters, and reporting functions are accurate and operating as intended.

The merchant agrees to promptly review receipts, reports, and system calculations after implementation to confirm proper operation. Any discrepancies should be reported immediately.

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner shall not be responsible for financial losses, incorrect tax calculations, pricing discrepancies, or reporting differences resulting from system configurations that were approved, reviewed, or not promptly reported by the merchant after installation or setup.

Card Brand Rule Changes

Merchants acknowledge that Card Brand Rules are independent of RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner.

While we may offer updated informational signage guidance based on changes in these rules, the merchant is responsible for implementing those updates in their physical place of business.

Limitation of Liability & Indemnification

By utilizing our services, the merchant agrees to indemnify and hold harmless RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner, its officers, and employees from any claims, damages, or legal fees arising from the merchant’s implementation of these programs or any alleged violations of consumer protection laws.

RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner acts solely as a service, enrollment, and support provider for different Point of Sale system companies.

By utilizing our services, requesting assistance, or implementing any payment program, POS system configuration, or related service introduced by RestaurantDealers.com LLC / Focus Restaurant Solutions / The SkyTab/Shift4 Partner, the merchant acknowledges and agrees to the disclosures, limitations, and responsibilities described on this page.
